Can I incorporate a company in Singapore as a citizen or permanent resident?
Yes. Singapore citizens and permanent residents aged 18 and above can register a company and act as its local resident director. You can be both the sole shareholder and the sole director if you wish.
Do I need a nominee director as a local?
No. The local resident director rule requires at least one director who is ordinarily resident in Singapore. What do I need to incorporate a private limited company?
You need an
approved company name, at least one shareholder, one local resident director, a
registered Singapore office address, a corporate secretary service
appointed within six months, and at least S$1 in paid-up capital. These
requirements sit under the Companies
Act 1967, administered by the Accounting
and Corporate Regulatory Authority (ACRA).
How long does incorporation take?
Once your documents and KYC checks are complete, ACRA often approves straightforward applications within the same business day. Cases involving corporate shareholders or additional approvals can take longer.
Should I choose a sole proprietorship or a private limited company?
A sole proprietorship is simpler to run but is not separate from you, so your personal assets are exposed. A private limited company is a separate legal entity with limited liability and access to corporate tax exemptions. Most founders planning to grow choose the private limited company. What ongoing compliance will my company have?
Every Singapore company must file an annual return with ACRA, hold an annual general meeting where applicable, file Estimated Chargeable Income and a corporate tax return with the Inland Revenue Authority of Singapore (IRAS), and keep proper accounting records. If your taxable turnover exceeds S$1 million, GST registration becomes compulsory.
Will my new company qualify for tax exemptions?
The headline corporate tax rate is 17%. Qualifying new companies may claim the Start-Up Tax Exemption for their first three consecutive years of assessment: 75% on the first S$100,000 of normal chargeable income, and a further 50% on the next S$100,000. Companies whose principal activity is investment holding, or property development for sale or investment, do not qualify, and shareholding conditions apply.
